Contract Between User and AI Creator

Introduction: This Contract Between User and Creator (“Agreement”) governs each interaction between a User and a Creator’s AI Character on Ruj.app. It establishes the terms and conditions for accessing and engaging with AI-generated content created by independent Creators on our platform. By interacting with a Creator’s AI Character, Users are entering into a direct agreement with that Creator, under the framework provided by these terms.

Scope: This Agreement is legally binding and applies each time a User initiates a User Interaction with a Creator’s AI Character or prompts the responses generated by our AI services. This Agreement takes precedence over any other terms, communications, or understandings that may be proposed or implied by the User or Creator, except as explicitly agreed in writing between Ruj.app and the Creator.

Parties: The only direct parties to this Agreement are the User who initiates a User Interaction with a Creator’s AI Character and the Creator who is responsible for creating and making available that AI Character and its associated prompts. Lycia Creative LTD (the “Company” or “Ruj.app”) is not a direct party to this Agreement, except for certain specific provisions herein related to platform operation and enforcement of Ruj.app’s Terms of Service, as explicitly stated below.

Interpretation: In this Agreement, defined terms shall have the following meanings:

  • “AI Character”: Refers to the specific persona, virtual entity, or digital representation created by a Creator using Ruj.app’s tools and AI services, with whom Users can engage in User Interactions.
  • “AI Services”: The interactive chat and content generation services provided by the Company through its proprietary or licensed artificial intelligence algorithms and infrastructure, enabling User Interactions with AI Characters.
  • “Company”: Lycia Creative LTD, the operator of the Ruj.app platform.
  • “Creator”: A User who has successfully set up a Creator account on Ruj.app in accordance with the Terms of Service, and who utilizes Ruj.app’s tools to create, offer, and make available AI Characters and associated prompts for User Interactions.
  • “Creator Earnings”: The revenue generated for a Creator based on User engagement with their AI Character, calculated based on User Credits consumed during User Interactions. Creator Earnings are determined by Ruj.app according to its prevailing payout rates and are subject to the Company’s service fees as outlined in the Ruj.app Terms of Service and this Agreement. Currently, Creator Earnings are calculated at a rate of approximately $[Amount] USD per [Number] Credits consumed by Users during User Interactions with the Creator’s AI Characters, but this rate is subject to change at Ruj.app’s discretion. Creator Earnings are based on the value of User Credits consumed, less the applicable Ruj.app service fee and are paid out in USD.
  • “User”: Any individual who accesses and initiates a User Interaction with a Creator’s AI Character through the Ruj.app platform, and who is registered as a Fan or User under the Ruj.app Terms of Service.
  • “User Credits”: Platform-wide credits purchased by Users on Ruj.app that can be used to access User Interactions with any Creator’s AI Character on the platform.
  • “User Interaction”: A discrete instance of interaction initiated by a User, where a User communicates with a specific Creator’s AI Character through the Ruj.app platform, consuming User Credits in the process of generating AI responses during the interaction. The cost in User Credits per User Interaction may vary.
  • “User Payment”: Payment made by a User to Ruj.app to purchase User Credits, which can then be used to engage in User Interactions with Creator AI Characters across the platform.

Pricing and Payment: Users purchase User Credits on the Ruj.app platform using accepted payment methods at prices defined by Ruj.app, plus any applicable taxes. These User Credits serve as platform currency and can be used to initiate User Interactions with any available Creator AI Character on Ruj.app. The number of User Credits required for a User Interaction with a specific AI Character may vary and will be displayed to the User prior to initiating the interaction. When a User engages in a User Interaction with a Creator’s AI Character, User Credits are deducted from the User’s account. Creators earn revenue based on the accumulated User Credit consumption by all Users across the platform when interacting with their AI Characters. Ruj.app determines Creator Earnings based on internal payout rates and metrics related to User Credit consumption. Ruj.app deducts a service fee from the gross revenue generated through User Credit purchases to cover platform operation, AI service provision, content moderation, and other services, as detailed in Section 6 of the Ruj.app Terms of Service. Creator Earnings, net of service fees and any applicable deductions, are paid out to Creators according to the payout schedule and eligibility criteria outlined in Section 6 of the Ruj.app Terms of Service.

License of AI Character: In consideration for User Credit consumption during a User Interaction, and as part of each User Interaction, the Creator grants the User a limited, personal, non-exclusive, non-transferable, and revocable license to access and interact with their AI Character solely within the Ruj.app platform and for personal, non-commercial entertainment purposes. This license explicitly permits the User to utilize their purchased User Credits to engage with the AI Services to generate AI-driven responses from the AI Character in accordance with the features and functionalities offered by Ruj.app. The scope of this license is strictly limited to the duration and nature of the User Interaction as defined by Ruj.app platform mechanics and these Terms. This license does not grant the User any rights to download, copy, reproduce, distribute, or publicly display the AI Character, its likeness, or any generated content outside the Ruj.app platform, unless explicitly permitted in writing by both the Creator and Ruj.app.

Ownership of Content: For clarity, the license granted herein is solely for the purpose of User Interaction and does not transfer any Intellectual Property Rights, ownership rights, or licensing rights of any kind to the User regarding the AI Character, its underlying prompts, designs, or any associated AI-generated content. The Creator (or their licensors, as applicable) retains full and exclusive ownership of all prompts, character designs, creative concepts, and the Intellectual Property Rights embodied in the AI Character. While Users may receive AI-generated responses during User Interactions, these responses are generated by the AI Services based on the Creator’s prompts and do not confer any ownership or Intellectual Property Rights to the User. Users understand that the AI-generated content is dynamic and non-unique; similar prompts to the same AI Character or different AI Characters may yield similar or identical outputs.

Expiry of License: The license granted to interact with a Creator’s AI Character under this Agreement is valid and subsists only for the duration of a successful User Interaction during which User Credits are actively being consumed. This license will automatically expire and terminate immediately upon the occurrence of any of the following events:

  • If the User exhausts their available User Credits during a User Interaction, thus concluding the interaction session.
  • If the Creator, for any reason, deletes the specific AI Character that is the subject of the User Interaction from their Ruj.app account, or if the Creator voluntarily terminates their Creator account.
  • If the User’s Ruj.app account is temporarily suspended or permanently terminated for any reason, as outlined in the Ruj.app Terms of Service.
  • If the Creator’s Ruj.app account is temporarily suspended or permanently terminated for any reason, as outlined in the Ruj.app Terms of Service.
  • If the User breaches any provision of the Ruj.app Terms of Service or this Agreement, as determined by Ruj.app in its sole discretion.
  • If the Creator, in their sole discretion, decides to temporarily or permanently remove the AI Character or associated Content from availability on the Ruj.app platform.
  • Upon the User manually terminating the User Interaction session, or if the system automatically concludes the session due to inactivity or other platform-defined session limits.

Upon expiration or termination of the license for any reason, the User’s right to further User Interactions with the specific AI Character under the consumed User Credits shall immediately cease.

Removal or Modification of Content: The Company, in its role as platform operator, reserves the overarching right, but not the obligation, to review, moderate, and remove any AI Character or Content from a Creator’s account or from the Ruj.app platform at any time, with or without notice, and for any reason, including but not limited to violations of the Ruj.app Terms of Service, Acceptable Use Policy, or legal or regulatory requirements. Separately, Users acknowledge and understand that Creators, as independent content providers, retain the right to independently modify, update, or remove their AI Characters and associated prompts, designs, and Content at any time without prior notice to Users. Ruj.app is not responsible for Creator-initiated content modifications or removals, and Users acknowledge that AI Characters and their available interactions may change or be discontinued without warning.

Cancellation and Refunds: Users gain immediate access to the ability to use purchased User Credits to initiate User Interactions with AI Characters on Ruj.app upon successful User Payment processing. Given the immediate and digital nature of User Credit access and the subsequent consumption of credits for User Interactions, and in accordance with applicable digital content and services regulations, User Payments for User Credits are generally non-refundable once the User Credits have been credited to the User’s account and are available for use. While statutory rights to cancel User Credit purchases may not apply once User Credits are accessible, Ruj.app may, at its sole discretion, consider refund requests for User Credit purchases in exceptional circumstances, such as demonstrable and significant platform malfunction directly preventing the User from accessing or utilizing purchased User Credits, or in cases of clear error directly attributable to Ruj.app in the crediting of User Credits. Refund requests, if any, for User Credit purchases must be submitted to Ruj.app support at [email protected] within 72 hours of the User Credit purchase, and will be evaluated on a case-by-case basis, subject to Ruj.app’s sole and final discretion. Please note that refunds for User Credit purchases, even if granted, will not extend to Creator Earnings already paid out based on User Credit consumption, as Creator payouts are subject to a separate eligibility and payout schedule.

Obligations between Creator and User:

  • Creator Obligations:
    • The Creator is solely and fully responsible for the creation, development, configuration, and maintenance of their AI Character and associated prompts provided through Ruj.app, and for ensuring that their AI Characters and Content comply with all provisions of the Ruj.app Terms of Service, Acceptable Use Policy, and Applicable Laws.
    • The Creator warrants and represents that they possess all necessary rights, permissions, licenses, and consents to create, offer, and make available AI Characters and associated Content on Ruj.app, and that their AI Characters do not infringe upon the Intellectual Property Rights, privacy rights, or other rights of any third party.
    • Creators are responsible for accurately describing the nature, scope, and expected outputs of their AI Characters to Users.
    • Creators are expected to provide a reasonably functional and interactive AI Character experience to Users who choose to engage with their AI Characters by consuming User Credits.
  • User Obligations:
    • The User agrees to make User Payments to Ruj.app to purchase User Credits necessary to access and engage in User Interactions with Creator AI Characters. The User understands that User Credit consumption is required for User Interactions and agrees to the credit costs associated with specific AI Characters.
    • The User agrees that they will not initiate or pursue chargebacks or payment reversals for User Credit purchases except in cases of a genuine and good faith dispute regarding the User Credit purchase itself, such as demonstrable platform malfunction preventing the User from receiving or utilizing purchased User Credits. Users understand that dissatisfaction with AI-generated content accessed through User Credit consumption, or with the performance of specific AI Characters, is not grounds for a valid chargeback on User Credit purchases.
    • The User acknowledges and assumes all risks inherent in accessing and engaging with AI Characters and AI-generated content on the Ruj.app platform through User Credit consumption. To the maximum extent permitted by Applicable Law, the User agrees that the Creator shall not be held liable for any losses, damages, or dissatisfaction arising from User Interactions, except in cases where demonstrable and direct negligence or willful misconduct on the part of the Creator in the setup or operation of their AI Character is definitively proven and directly causes foreseeable and avoidable harm to the User.
    • The User agrees to interact with AI Characters and the Ruj.app platform in a manner that is compliant with the Ruj.app Terms of Service and Acceptable Use Policy, and in a respectful and lawful manner.

No Guarantees: The User expressly acknowledges and agrees that access to and functionality of the AI Services and Ruj.app platform are provided on an “AS IS” and “AS AVAILABLE” basis, and that User Interactions with AI Characters rely on complex and evolving technologies. While Ruj.app strives to provide a consistent and high-quality experience, the Company and Creators provide no guarantees, warranties, or representations, express or implied, regarding: the uninterrupted or error-free availability of the AI Services or Ruj.app platform; the accuracy, reliability, completeness, or appropriateness of AI-generated responses; the suitability of AI Characters for any particular purpose or User expectation; or the security or privacy of User Interactions beyond the commitments outlined in the Ruj.app Privacy Policy. The User acknowledges that factors outside the Company’s and Creator’s direct control, including but not limited to technical difficulties, server outages, AI model limitations, evolving AI behavior, and internet connectivity issues, may affect or limit access to or the quality of User Interactions and AI Services.

Applicable Law and Forum for Disputes: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be subject to the dispute resolution provisions outlined in Section 11 of the Ruj.app Terms of Service, which are incorporated herein by reference. You agree that any legal action or proceeding arising out of or relating to this Agreement must be brought exclusively in the courts of England and Wales, and you irrevocably submit to the jurisdiction of such courts.

Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from this Agreement, and the remaining provisions of this Agreement shall continue in full force and effect and shall be construed so as to best effectuate the original intent of the parties as reflected in this Agreement.

Entire Agreement: This Agreement constitutes the entire agreement and understanding between the User and the Creator with respect to User Interactions with the Creator’s AI Character, and supersedes all prior or contemporaneous communications, whether oral or written, between them, or between either party and Ruj.app, relating to the subject matter hereof.

No Third-Party Beneficiaries: Except as explicitly stated herein with respect to Lycia Creative LTD’s rights and roles as platform operator and payment processor, this Agreement is intended solely for the benefit of the User and the Creator, and is not intended to, and shall not be construed to, create any rights or confer any benefits upon any person or entity not a party hereto, including but not limited to any rights as a third-party beneficiary.

By initiating or participating in a User Interaction with a Creator’s AI Character on Ruj.app, you, as a User, explicitly acknowledge and confirm that you have carefully read, fully understood, and unequivocally agree to be legally bound by all terms and conditions of this Contract Between User and AI Creator. If you do not agree with any provision of this Agreement, you must immediately cease all User Interactions and not access or engage with Creator AI Characters on Ruj.app.
